A turnaround delivering: the engine is fixed, the ads business is compounding, and cash is real.

The answer first: Unity Software is a strong engine fit, and as of September 23, 2026 four of five pillars pass. CEO Matthew Bromberg, in the role since May 15, 2024, canceled the Runtime Fee, reset the portfolio (ironSource Ads Network sunset, Supersonic sold), and turned Unity into a cash compounder: six straight quarters of adjusted EBITDA margin expansion from 19% to 29%, Vector past a $1 billion annual run rate, trailing-twelve-month free cash flow of about $533 million, and the balance sheet flipped to net cash. The one partial is the moat: the mobile engine moat is real, but Unreal dominates high-end development and AppLovin dwarfs Unity in ad mediation. Reference price $44.10, market cap about $19.4 billion.

Pillar 1: Sunrise sector, PASS

Real-time 3D and interactive content is a multi-decade runway. Gaming is the largest entertainment medium, the mobile gaming ad market is recovering, and XR plus industrial digital twins are long-runway optionality. Unity's engine is deeply embedded in mobile game creation, and the demand signal is already invoiced: Vector, its AI-powered ad platform, grew 23% quarter over quarter in Q2 2026 against management's own 12-13% expectation and passed a $1 billion annual run rate two quarters ahead of plan. The September 23 Meta Connect keynote reads modestly positive to neutral for Unity: Meta VR Glasses at $1,299.99, available spring 2027 and compatible with the Quest catalog, expand the hardware base for Unity-built XR apps, while Meta's Horizon-native creation layer competes only for low-complexity creators. Already at the ceiling; the downgrade triggers would be a sustained collapse in mobile game demand or the mobile ad market, or a developer exodus toward AI-native creation platforms.

Pillar 2: Leadership, PASS

Matthew Bromberg has been President and CEO since May 15, 2024, and came in with turnaround credentials: COO of Zynga from 2016 to 2022, where he played a key role in that turnaround; before that, SVP of Strategy and Operations for EA Mobile and GM of all BioWare studios; earlier, CEO of Major League Gaming. The record since arrival is the evidence: he canceled the Runtime Fee on September 12, 2024, ending the pricing debacle that had broken developer trust (the September 12, 2023 announcement triggered broad backlash, and John Riccitiello retired in October 2023), raised subscriptions instead, sunset the ironSource Ads Network, sold Supersonic, expanded adjusted EBITDA margin for six consecutive quarters, beat his own guidance two quarters running, pulled GAAP profitability forward to Q3 2026, and flipped the balance sheet to net cash. Upgrade path: a full downcycle managed cleanly; he has about 28 months in the role and no full downcycle yet. Downgrade triggers: a guidance cut, renewed trust damage with developers, or a stall in the margin expansion.

Pillar 3: Moat, PARTIAL

The moat is real in mobile game engines. Switching engines mid-development is prohibitively expensive, Unity has the largest mobile developer ecosystem and a mature asset store, and runtime data from roughly 3 billion monthly consumers began feeding Vector's live models late in Q2 2026, a data advantage only Unity can collect at that scale. But the gaps are visible: Unreal dominates high-end and PC-console development; in ad mediation, a 2025 GameBiz sample found AppLovin MAX in 73.1% of top-downloaded ad-monetized games versus 5.7% for LevelPlay, sample-specific but directionally clear; and AI-native creation tools are emerging as a new disruption vector. Upgrade: the Vector data moat deepening and broad Unity 7 adoption (beta December 2026, full release targeted Q1 2027, no breaking changes from Unity 6). Downgrade: developer churn toward Unreal, Godot, Roblox-native tools, or AI-native platforms, or further mediation share loss to AppLovin.

Pillar 4: Iron fortress, PASS

Unrestricted cash of $2.352 billion at June 30, 2026 against a convertible-note carrying value of $2.237 billion: about $115 million of net cash, and the CFO said on the Q2 2026 call that Unity had flipped from a net debt position to a net cash position. Note the arithmetic: $2.36 billion is gross cash, not net cash. The balance sheet also shows turnaround discipline: in the first half of 2025 the company issued $690 million of 2030 converts, bought $44.436 million of capped calls, and repaid $641.691 million of notes. Watch item: the convert stack still matters, with $1.0 billion of 2027 notes at a 2% coupon and a $48.89 conversion price and $690 million of 2030 notes at $36.15, and the 2026 notes (about $558 million) due for cash repayment in November 2026. Downgrade on a financing-dependent November repayment, renewed balance-sheet leverage, or debt-funded operations.

Pillar 5: Free cash flow, PASS

Trailing-twelve-month free cash flow is about $533 million, and the trend is the point. Q2 2026 free cash flow was $202 million, up 59% year over year, on operating cash flow of $205.6 million. Full-year 2025 free cash flow was just over $400 million, up 41%, at about 99% conversion of adjusted EBITDA. The drivers are structural: the mix shift toward strategic revenue (up 38% in Q2 2026 to $486.4 million), and adjusted sales and marketing and G&A falling in absolute dollar terms while revenue grew 24%. Stock-based compensation, the old dilution engine, fell from 32.9% of revenue in FY2024 to 20.8% in FY2025 to about 14.6% in Q2 2026. The GAAP picture is still catching up (a Q2 net loss of $22.7 million, and a $279 million non-cash impairment in the first half from the portfolio reset), but the pillar grades the cash, and the cash is real and repeated. Downgrade on free cash flow turning negative again, Vector or strategic Grow stalling, or opex reaccelerating.

What would change each grade

Everything about this package resolves through the next two quarters. November 2026 is when about $558 million of 2026 converts come due: repayment from the cash pile, with no new financing, proves the fortress is real. Q3 2026 is when GAAP profitability is expected, one quarter ahead of target: landing it proves the cash story is structural. The moat upgrades only on evidence: the Vector data moat deepening and broad Unity 7 adoption. Leadership's remaining test is a full downcycle. If November and Q3 land, the turnaround hardens into a fortress narrative and the only remaining question is the moat.

Comps and the Meta Connect read-through

At the September 23, 2026 close, Unity trades at about a $19.4 billion market cap on about $2.028 billion of trailing revenue (P/S 9.6x) and about $532 million of trailing adjusted EBITDA, for an EV/EBITDA of about 36.3x that prices in the margin expansion. AppLovin is the premium comp: about $110 billion at 16.1x sales on an 84% Q2 adjusted EBITDA margin. Autodesk and PTC are the mature creator-software comps at 5.8x and 5.0x sales. Roblox trades on revenue growth with negative EBITDA. $44.10 sits 78% below Unity's all-time high of $198.69, and after the Q2 beat, analysts repriced: BofA and Deutsche Bank upgraded to Buy with $50 targets, Macquarie, Morgan Stanley, and Jefferies set $50, Citigroup $48, HSBC $47.10, and Piper Sandler $55. The market has repriced the turnaround; the comps show it is now priced on execution, not on hope.

The Meta Connect read-through in full: no Unity-specific partnership was disclosed in the September 23 keynote coverage, and the September 24 developer sessions were still pending at the time of this research. Meta VR Glasses ($1,299.99, spring 2027, Quest catalog compatible) are a tailwind for Unity-built XR apps; Meta's Horizon-native tooling competes only for low-complexity creators. Modestly positive to neutral: not a standalone catalyst.

Bottom line: Four of five pillars pass on evidence. The turnaround is delivering exactly where the engine grades it: the business is fixed, the ads business is compounding, and the cash is real. What remains is the moat, and its answer arrives through Vector's data advantage and Unity 7 adoption, not through the income statement.
